1. Acceptance of Terms

By using Nomad Filing (the "Service"), operated by Nomad Stack, LLC, you agree to these Terms of Service. If you do not agree, you may not use the Service.

2. Service Description

Nomad Filing is a self-service tool for generating IRS forms (Form 1120, Form 5472, Form 7004) and sending fax transmissions via third-party APIs. The Service does not constitute tax advice and does not replace a qualified US tax professional.

3. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We specifically do NOT guarantee: (a) successful delivery of fax transmissions, (b) uninterrupted availability of the Service, (c) error-free generated forms, (d) timely processing by the IRS or any other agency.

4. Limitation of Liability

IN NO EVENT SHALL NOMAD STACK, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, TAX PENALTIES, IRS FINES, OR OTHER GOVERNMENTAL PENALTIES, REGARDLESS OF THE THEORY OF LIABILITY.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

5. Indemnification

You agree to indemnify, defend, and hold harmless Nomad Stack, LLC, its officers, employees, and agents from any claims, losses, costs, and expenses (including reasonable attorney fees) arising from (a) your use of the Service, (b) incorrect or incomplete tax data, (c) sending illegal, harassing, or unsolicited fax messages, (d) violations of these Terms.

6. TCPA Compliance (Fax Regulation)

The U.S. Telephone Consumer Protection Act (TCPA) prohibits unsolicited fax advertisements. By using our fax service, you represent and warrant that:

You have obtained prior express consent from the recipient to receive the fax transmission.
You will NOT use the Service for unsolicited fax advertisements.
You comply with all applicable federal, state, and international telecommunications laws.
Violations of the TCPA may result in penalties of $500 to $1,500 per fax.

Nomad Stack, LLC assumes no liability for TCPA violations committed by users.

7. Acceptable Use Policy

You may NOT use the Service for:

Spam or bulk fax transmissions
Illegal content or fraudulent activities
Harassment or threats to recipients
Circumventing rate limits or security measures

We reserve the right to suspend or terminate accounts for abuse without prior notice and to report suspicious activities to relevant authorities.

8. Electronic Records (E-SIGN Act)

All fax transmissions are logged with timestamps, sender IP, recipient number, and transmission status. These records serve as evidence under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and are retained for at least 7 years.

9. No Delivery Guarantees

Fax transmissions are processed via third-party infrastructure (Telnyx). Successful completion of a transmission only confirms that the transmission attempt was made – NOT that the document was successfully received or read by the recipient. We provide no guarantee of actual delivery.

10. Data & Privacy

Your use of the Service is subject to our Privacy Policy. We store phone numbers, transmission logs, and associated metadata to fulfill our legal retention obligations.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, USA, without regard to conflict of law provisions. Venue shall be in Miami-Dade County, Florida.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after notification constitutes acceptance.
